Preamble
The Advisory Board of the Cohesive Society CIC is established as a non-executive body to provide guidance and represent diverse communities, including Bangladeshi, Somali, Indian, and Ukrainian, in addressing social, cultural, and economic challenges. This Constitution defines the Board’s structure, responsibilities, and governance to foster collaboration, ensure accountability, and support the mission of the Cohesive Society CIC.
Article 1: Name
The body shall be known as the Advisory Board of the Cohesive Society CIC.
Article 2: Purpose and Objectives
- To act as an advisory body that works hand in glove with the Board of Directors of the Cohesive Society CIC, providing guidance and support for the organization’s projects and initiatives.
- To suggest, guide, and assess projects that address the needs of the Bangladeshi, Somali, Indian, and Ukrainian communities.
- To propose innovative ideas to uplift these communities and address specific social, cultural, and economic issues.
- To evaluate the impact of ongoing initiatives and recommend necessary adjustments.
- To facilitate engagement and communication between the communities and the Cohesive Society CIC.
Article 3: Membership
3.1 Composition
The Advisory Board shall consist of the following representatives:

3.2 Eligibility
- Members must pass a mandatory Disclosure and Barring Service (DBS) check.
- Members must demonstrate commitment to the objectives of the Cohesive Society CIC and have relevant experience or insights into their respective communities.
3.3 Tenure and Resignation
- Membership shall be for two years, renewable upon mutual agreement.
- Members wishing to resign must serve a three-month written notice to the Chairperson.
- The Cohesive Society CIC will not be responsible for any work, liabilities, or misconduct of members that fall outside the scope and remit of the CIC.
Article 4: Roles and Responsibilities
4.1 Advisory Duties
- Provide insights, recommendations, and strategic guidance to the Board of Directors.
- Assist in the development, implementation, and evaluation of community-focused projects.
- Offer diverse perspectives to ensure inclusivity in decision-making.
4.2 Engagement
- Actively participate in quarterly meetings and any additional meetings as needed.
- Engage with their communities to gather feedback and share information with the Cohesive Society CIC.
- Uphold the mission of the organization by fostering collaboration and inclusivity.
4.3 Ethical Standards
- Maintain confidentiality and adhere to non-disclosure agreements.
- Avoid conflicts of interest and disclose any potential biases.
Article 5: Meetings
5.1 Frequency
The Advisory Board shall meet quarterly. Additional meetings may be convened when necessary.
5.2 Quorum
A quorum shall consist of at least five members.
5.3 Decision-Making
- Decisions shall be made by consensus whenever possible.
- If consensus cannot be reached, decisions will be made by a majority vote.
5.4 Allowances
Members shall receive allowances for transport and food subsistence for attending meetings.
Article 6: Governance and Administration
6.1 Relationship with the Board of Directors
The Advisory Board shall work hand in glove with the Board of Directors to align initiatives, provide input, and ensure the successful execution of the organization’s objectives.
6.2 Chairperson
- The Advisory Board shall elect a Chairperson from among its members for two years.
- The Chairperson shall facilitate meetings and be the primary liaison with the Board of Directors.
6.3 Secretary
A Secretary shall be appointed to record and circulate meeting minutes.
6.4 Accountability
The Advisory Board shall regularly report its findings and recommendations to the Board of Directors.
Article 7: Code of Conduct
- Members shall act in the best interest of the communities they represent.
- Maintain professionalism, integrity, and respect in all interactions.
- Maintain confidentiality and adhere to non-disclosure agreements.
- The Cohesive Society CIC will not be responsible for any actions, liabilities, or misconduct by Advisory Board members that fall outside the scope and remit of the organization.
Article 8: Amendments
- A two-thirds majority vote of the Advisory Board members may amend this Constitution.
- Proposed amendments must be submitted in writing at least one month before the meeting at which they will be considered.
Article 9: Dissolution
In the event of dissolution, all documents and records shall be returned to the Cohesive Society CIC, and member allowances shall cease.
